These Terms of Use (the "Terms", and together with any applicable Supplemental Terms (as defined in Section 2.6), the "Agreement") together govern the relationship between Helixx Technologies Pte. Ltd. ("Company", "we," "us," "our") and the entity or individual ("User," "you," "your") using or accessing HelixX AI, the HelixX AI mobile application (the "App") along with any associated software applications and websites (collectively, the "Services").
PLEASE READ THIS AGREEMENT CAREFULLY. THIS AGREEMENT GOVERNS THE USE OF THE SERVICES AND APPLIES TO ALL USERS VISITING OR ACCESSING THE SERVICES. BY ACCESSING OR USING THE SERVICES IN ANY WAY, ACCEPTING THIS AGREEMENT OR COMPLETING THE ACCOUNT REGISTRATION PROCESS, YOU REPRESENT THAT: (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH COMPANY, (3) YOU ARE NOT BARRED FROM USING THE SERVICES UNDER THE LAWS OF YOUR PLACE OF RESIDENCE AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT PERSONALLY OR, IF YOU ARE ACCESSING OR USING THE SERVICES ON BEHALF OF AN ENTITY, ON BEHALF OF THE ENTITY IDENTIFIED IN THE ACCOUNT REGISTRATION PROCESS. IF THE INDIVIDUAL ENTERING INTO THIS AGREEMENT IS DOING SO ON BEHALF OF AN ENTITY, ALL REFERENCES TO "USER", "YOU" OR "YOUR" IN THIS AGREEMENT WILL ALSO BE DEEMED TO REFER TO SUCH ENTITY. IF YOU DO NOT AGREE TO BE BOUND BY THE AGREEMENT, YOU MAY NOT ACCESS OR USE THE SERVICES. YOU MUST BE AT LEAST 18 YEARS OLD TO USE THE SERVICES. IF YOU ARE A MINOR UNDER 18 YEARS OF AGE, PLEASE CAREFULLY READ AND FULLY UNDERSTAND THIS AGREEMENT UNDER THE ACCOMPANIMENT OF YOUR LEGAL GUARDIAN AND OBTAIN THE CONSENT OF YOUR LEGAL GUARDIAN BEFORE AGREEING TO THESE TERMS AND USING THESE SERVICES.
IF YOU SUBSCRIBE TO ANY FEATURE OR FUNCTIONALITY OF THE SERVICE FOR A TERM (THE "INITIAL TERM"), THEN YOUR SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED FOR ADDITIONAL PERIODS OF THE SAME DURATION AS THE INITIAL TERM AT COMPANY'S THEN-CURRENT FEE FOR SUCH FEATURES AND FUNCTIONALITY UNLESS YOU OPT OUT OF THE AUTOMATIC RENEWAL OF SERVICE TERM IN ACCORDANCE WITH SECTION 4.1 BELOW.
THE AGREEMENT IS SUBJECT TO CHANGE BY COMPANY IN ITS SOLE DISCRETION AT ANY TIME AS SET FORTH IN SECTION 12.10.
PLEASE NOTE THAT IF YOU OPT-IN TO OBTAIN TEXT MESSAGES FROM COMPANY, SECTION 2.8 OF THESE TERMS CONTAINS TERMS RELATED TO OUR TEXT MESSAGE SERVICES.
Artificial Intelligence ("AI") and machine learning are rapidly evolving fields of research. When using or accessing the Services, you need to be aware of the following:
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our Services solely for your own personal purposes. We reserve the right to modify, suspend, or terminate any part of the Services at any time without prior notice.
The Company uses Stripe as its third-party service provider for payment services. You agree to be bound by Stripe's Privacy Policy and Terms of Service and hereby consent and authorize the Company and Payment Processor to share any information and payment instructions you provide.
Certain services are only available with a paid subscription. Your subscription will automatically renew at the then-current pricing unless cancelled. You can cancel your subscription renewal by contacting us via email at support@helixx.ai.
You are entirely responsible for all Input that you upload, share, post, email, transmit, query or otherwise make available through or to the Service. The Company does not claim ownership of any Input or Output (collectively, "Your Content").
We retain all rights, title, and interest in and to the Usage Data, the Services, and any improvements, enhancements, or modifications thereof, including all Intellectual Property Rights. "HelixX AI", "Helixx Technologies", and all related stylizations, graphics, logos, service marks and trade names used on or with the Services are the trademarks of Company.
The term of this Agreement commences on the date when you accept this Agreement and continues in full force and effect while you use the Services, unless terminated earlier in accordance with this Agreement.
We process your personal information as data controller for the purposes of providing the Services and managing your relationship with us in accordance with these Terms. Our Privacy Policy explains how we collect and use personal information.
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK, AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. THE COMPANY PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
You shall indemnify and hold Company, its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors harmless from any losses, costs, liabilities and expenses relating to or arising out of your use of the Services or violation of this Agreement.
Under no circumstances shall either party, its affiliates, or any licensors or suppliers of the Company be liable for any consequential, indirect, special, incidental, or punitive damages; any loss of profits, business, revenue, anticipated savings, or unnecessary expenses; or any loss, damage, or interruption of data, networks, information systems, reputation, or goodwill.
These Terms and your use of the Services shall be governed by the laws of Singapore. If you have any concerns or disputes regarding the Services, you agree to first attempt to resolve the dispute informally by contacting Company.
